Terms of Service
Last updated 1 October 2026
These terms govern your use of Nyota (nyota.khonsu.me), a creator marketing platform operated in Kenya. By creating an account or using the platform, you agree to them. Prices are in Kenya Shillings (KES) unless stated.
1. The platform
Nyota connects brands with independent creators for marketing campaigns. Brands publish briefs, fund campaigns into escrow, review deliverables, and release payment on approval. Creators maintain public profiles, publish rate cards, accept briefs, deliver work, and receive earnings into a Nyota wallet.
Nyota is a marketplace and escrow facilitator. Creators are independent contractors, not employees of Nyota or of the brands that brief them.
2. Accounts and verification
You must provide accurate information when registering. Creators must complete identity verification (KYC) — a national ID or passport matched to a selfie, plus verification of the social accounts they perform on — before earnings can be withdrawn. Brands may be asked to verify business details before funding campaigns above thresholds we set for safety.
You are responsible for activity under your account. One person, one creator account.
3. Campaigns, escrow and fees
When a brand funds a campaign, the full budget is held in escrow by the platform. The platform fee is 13% of the campaign budget, payable by the brand, calculated and displayed before funding. The remainder forms the creator pool.
Escrowed funds release to a creator's wallet when the brand approves the corresponding deliverable, or per a dispute decision under section 6. Funds for deliverables that are never approved and never disputed within 30 days of the deadline return to the brand's wallet, less any amounts already earned.
Amounts in a Nyota wallet are held for you and are not a bank deposit. Withdrawals to M-Pesa or bank accounts are processed on the rails' timelines.
4. Briefs, deliverables and acceptance
A brief is the contract for a campaign: deliverables, deadlines, budget and usage rights are as stated in the brief and the campaign thread. Agreed changes made in the campaign thread form part of that contract. Work delivered outside the thread is not covered by escrow.
Brands must review deliverables in good faith and within the review window stated in the brief. Silence past the review window may be treated as approval where the brief says so.
5. Content and usage rights
Creators own the content they create. By accepting a brief, a creator grants the brand the usage rights stated in that brief (for example organic use, paid usage for a period, or an exclusivity window). Rights beyond those stated are not granted. See the IP Policy.
You must not post content that infringes third-party rights, is unlawful, or breaches advertising disclosure rules. Sponsored content must be disclosed as such on the platforms where it appears.
6. Disputes
Either party may flag a dispute from the campaign thread. A Nyota reviewer will examine the brief, the thread, and the submitted work, and issue a binding decision within 48 hours of the flag. Escrow releases in line with that decision. Our decision is final within the platform; nothing in this section limits statutory rights.
7. Acceptable use
No fake engagement, purchased followers presented as organic reach, impersonation, or circumvention of escrow by moving an on-platform negotiation off-platform to avoid fees. Accounts that do this may be suspended and escrow handled per sections 3 and 6.
8. Liability and changes
The platform is provided as-is for the pilot. To the extent permitted by Kenyan law, Nyota's liability arising from the platform is limited to the fees paid in the preceding three months. We may update these terms; material changes will be announced on the platform before they take effect.
Nyota is in a private pilot. These texts describe how the pilot platform works and will be reviewed by counsel before public launch. Questions: help@khonsu.me.
